Definitions

• "The Company", "We", "Us", or "Our" refers to E8 Labs.
• "Client", "You", or "Your" refers to the individual or entity that uses our Website or Services.
• "Project" refers to the specific work undertaken by E8 Labs for the Client, as detailed in a Service Agreement.

Use of the Website

• The content on our Website is for your general information and use only and is subject to change without notice.
• Unauthorized use of this Website may give rise to a claim for damages and/or be a criminal offense.

Services

• E8 Labs provides custom software development services tailored to the needs of our clients. The specific scope of Services, deliverables, timelines, and fees will be detailed in a separate Service Agreement or Statement of Work (SOW).

Payment Terms

• Payment terms, including fees, invoicing, and payment schedules, will be outlined in the Service Agreement or SOW.  

Intellectual Property Rights

• All intellectual property rights in the work product developed by E8 Labs under the Service Agreement or SOW will be owned by the Client, except where otherwise agreed in writing. E8 Labs retains the right to use and display the work product in its portfolio and marketing materials, unless otherwise agreed.

Confidentiality

• Both parties agree to keep all proprietary information, trade secrets, and other sensitive information confidential during and after the termination of the agreement.

Limitation of Liability

• E8 Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Services provided.

Termination

• Either party may terminate the agreement with written notice if the other party breaches these Terms and fails to correct the breach within a specified period.

Dispute Resolution

• Any disputes arising out of or related to these Terms or the Services provided shall be resolved through mediation, followed by binding arbitration, if necessary.  

Amendment

• These Terms may be amended from time to time, and the latest version will always be posted on our Website.

Governing Law

• These Terms shall be governed by and construed in accordance with the laws of Santa Clara, CA.

User Conduct and Responsibilities

• Users must ensure their projects do not infringe on intellectual property rights, comply with all applicable laws, and respect privacy and data protection standards. Users are responsible for the accuracy of information provided to E8 Labs and for maintaining the confidentiality of their account information.

Warranty and Support

• E8 Labs warrants that services will be provided in a professional manner consistent with industry standards. Post-delivery support terms, including maintenance and updates, will be specified in individual client contracts.

Data Protection and Privacy

• E8 Labs commits to protecting client data in accordance with applicable data protection laws, including GDPR. Data handling practices are detailed in E8 Labs' Privacy Policy, which outlines data collection, use, and rights of individuals.

Indemnification

• Clients agree to indemnify E8 Labs against any losses, damages, or expenses arising from their use of E8 Labs' services that violate these Terms or any laws.

Force Majeure

• Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, or utility failures.

Governing Law

• These Terms are governed by the laws of the jurisdiction where E8 Labs operates.

Modifications

• E8 Labs may revise these Terms at any time. Continued use of services constitutes acceptance of new Terms.
